REFINING A TECHNOLOGY CAPITAL RIASE THROUGH PREPERATION AND INDPENEDENT DILLIGENCE
A technology-led Business Operator was in discussions with a Capital Partner for a proposed private capital transaction. We worked across both sides of the engagement to strengthen transaction readiness and support a more informed evaluation.
Industry: Technology
Stage: Pre-Commercialisation
Duration: 4 weeks
Services Delivered: Capital Preparation, Transaction Review, Capital Intermediation
Situation
The Business Operator had developed a ground breaking technology proposition and was seeking capital to support its next stage of development.
A Capital Partner had expressed interest in evaluating the opportunity, but further information and validation were required before the transaction could progress meaningfully.
Challenge
The Business Operator's initial capital proposition required greater clarity around its narrative, supporting information and underlying capital requirement.
At the same time, the Capital Partner required deeper diligence and independent validation of the technology before forming a view on the opportunity.
The transaction therefore required stronger preparation on one side and greater verification on the other.
Approach
3RDiCO worked with the Business Operator to refine the transaction narrative, organise the information required by the Capital Partner and respond to questions arising through the evaluation process.
In parallel, 3RDiCO supported the Capital Partner's due-diligence process and engaged an independent domain expert to review and validate relevant aspects of the underlying technology.
The information and questions emerging through this process also helped the Business Operator reassess and refine its original capital ask.
Outcome
The engagement resulted in a more clearly defined capital proposition for the Business Operator and a stronger evaluation framework for the Capital Partner.
The Business Operator refined its capital requirement based on greater transaction clarity, while the Capital Partner gained access to more complete information and independent technical validation to support its assessment.
